	Jane Deuber's Affiliate Terms & Conditions QUALIFYING PRODUCTS & FEES The following products are considered qualifying products: • Jane Deuber's Produced Products, including software and books. • Supplemental Educational Programs, including teleclasses, courses, audio programs and webinars. The following products are NOT considered qualifying products: • Products and services offered through the Jane Deuber store that are produced by individuals other than Jane Deuber. • Events - unless otherwise identified as affiliate products. • Products and services sold through live events or any link other than your personal affiliate link. AFFILIATE FEE AMOUNT The purchase price of qualifying products will count toward the total sales during the calendar month in which such products are sold. Only qualifying products that are sold by Jane Deuber, shipped/sent to a customer and for which Jane Deuber has received full payment will qualify for an Affiliate fee. The total of such sales in any given month will generate Affiliate fees, based upon the applicable Affiliate fee, according to the following schedule: Gold Affiliate: This Affiliate type earns 20% on the sales of all Jane Deuber Software. Platinum Affiliate: This Affiliate type earns 25% on the sales of all Jane Deuber Software. AFFILIATE FEE PAYMENT Jane Deuber will send an Affiliate fee check for the applicable Affiliate fee on or before the 20th day of the following calendar month. A statement of customer purchase activity to the Affiliate will be sent with each Affiliate payment. RETURNS, CANCELLATIONS AND NON-AVAILABILITY If a product or service on which an Affiliate fee has been paid is later returned by the customer, the resulting Affiliate fee will be deducted from the next monthly payment sent to the Affiliate. If no additional fees are earned, the Affiliate will be billed for any amount over $20. The price charged for product sold under this program will be determined by Jane Deuber according to the price listed on the Jane Deuber web site or promotional material. Jane Deuber will not be held responsible for fees lost as a result of product non-availability, and every effort will be made to keep the web site operational. The Affiliate agrees not to hold Jane Deuber liable for any of the consequences of such interruptions. JANE DEUBER'S RESPONSIBILITIES Jane Deuber will be solely responsible for processing and tracking every order placed by a visitor who enters the Jane Deuber site through a unique Affiliate link that you’ve placed on your web site, email signature, e-correspondence or promotional material. Payment processing, shipping, cancellations, returns, and related customer service are the responsibility of Jane Deuber. All of the rules, operating procedures and policies of Jane Deuber regarding customer orders and accounts will apply to orders we receive through your unique Affiliate link. Jane Deuber reserves the right to reject any order that does not comply with our rules, operating procedures and policies. AFFILIATE RESPONSIBILITIES As an Affiliate you may promote your link utilizing the suggestions provided in the Affiliate Resource Center. However, if SPAM is suspected in any way, shape or form, including email and newsgroup spamming, your account will be terminated and any unpaid Affiliate fees will be forfeited and become the property of Jane Deuber. Affiliate agrees to honor all Copyrights, Trademarks, Trade Names & Patents as they pertain to the use of Jane Deuber produced material and logos. While you are granted the right to use Jane Deuber’ Trademarks in connection with marketing and sales of these services, written consent must be obtained for the use of any copy written material. Affiliate agrees to be truthful in all product claims and will not make or accept any offer on behalf of Jane Deuber. Jane Deuber is not responsible for any representations made by the Affiliate which contradict our policies. TERM OF AGREEMENT The Affiliate may receive Affiliate fee payments on qualifying orders that are placed during the term of this agreement. Either Jane Deuber or the Affiliate, acting in their sole discretion, may choose to cancel this agreement at any time by written notice of cancellation to the order. Jane Deuber reserves the right to change any of the terms and conditions in this agreement, at any time and in its sole discretion, by posting a new agreement on our web site. Warranty Disclaimer: Jane Deuber makes no warranties, representations or condition with regard to the program, whether expressed or implied, arising by law or otherwise, including without limitation any implied warranty of merchantability or fitness for a particular purpose or non-infringement or any implied warranty arising out of course of performance, course of dealing or usage of trade. Limitation of Damages: Jane Deuber shall have no liability for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this agreement or the program, even if Jane Deuber has been advised of the possibility of such damages. Further, Jane Deuber's aggregate liability arising under or with respect to this agreement or the program shall in no event exceed the total Affiliate fees paid or payable by Jane Deuber to Affiliate under this agreement. Miscellaneous: Affiliate and Jane Deuber are independent contractors and nothing in this agreement is intended to or will create any form of partnership, joint venture, agency, franchise, sales representative or employment relationship between the parties. Affiliate shall not assign this Agreement, by operation of law or otherwise, without the prior written consent of Jane Deuber. Subject to the foregoing restriction, this agreement is binding upon, insures to the benefit of and is enforceable by the parties and their respective successors and assigns. Governing Law: This agreement shall be governed by the laws of the United States and Canada without reference to its choice of law principles.
